Terms of Use
Last Updated: December 1, 2025
1. What this document is
These Terms of Use ("Terms") are a legally binding agreement between you and Sound City Ventures, LLC ("Sound City Ventures," "we," "our," or "us") that govern your use of the Veritell application and related services (collectively, the "Service"), whether you are using Veritell for yourself as a patient or on behalf of a loved one as a caregiver or patient advocate.
By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Quick summary (not a substitute for the full Terms):
- Veritell helps you fetch and organize health information and generate AI-based explanations for your own understanding.
- Veritell does not provide medical care, diagnosis, or treatment, and is not a substitute for a doctor.
- You are responsible for how you use the Service and for keeping your device and credentials secure.
- We offer Veritell for personal, non-commercial use subject to the limitations and disclaimers below.
2. Who may use Veritell
You may use the Service only if you:
- Are at least 18 years old (or the age of majority in your state of residence); and
- Have the legal capacity and authority to agree to these Terms; and
- Use the Service only for your own purposes or, where applicable, on behalf of someone you are legally authorized to represent (for example, as a parent, guardian, or patient advocate).
What this means: Veritell is intended for adults managing their own or loved ones' health records, not for clinical or enterprise use.
3. Relationship with healthcare providers and portals
Veritell is an independent application and is not sponsored, endorsed, controlled by, or affiliated with Epic, MyChart, any hospital, clinic, or healthcare provider ("Providers"). Any names or references to MyChart or other portals are for identification purposes only.
When you use Veritell to access your MyChart or other patient portal accounts, you must continue to comply with the terms, policies, and rules of those Providers and portals. We are not responsible for any actions taken by your Providers or portal operators.
4. Medical and AI disclaimers
IMPORTANT: NOT MEDICAL ADVICE
Veritell is an AI-powered health assistant designed for informational and educational purposes only. It does not provide medical advice, diagnosis, treatment, or care, and it does not create a doctor–patient relationship.
You expressly acknowledge and agree that:
- AI-generated summaries and explanations may be incomplete, outdated, or inaccurate, and may "hallucinate" or misinterpret information.
- You are solely responsible for how you use any information from the Service.
- You should always seek the advice of a physician or other qualified health provider with any questions about a medical condition or test result.
- Never ignore, avoid, or delay obtaining medical advice from your Provider because of something you read in Veritell.
- If you think you may be having a medical emergency, call your doctor or emergency services immediately.
What this means: Veritell can help you understand your records, but it is not a doctor and should not be used to make medical decisions on its own.
5. Accounts, credentials, and security
When you create or use an account with us (or within the application), you agree to:
- Provide accurate, current, and complete information;
- Maintain the security of your device, operating-system login, and any passwords, passcodes, or keys used with the Service;
- Promptly notify us if you believe there has been any unauthorized access to your account or device; and
- Log out, lock, or secure your device when not in use.
You represent and warrant that you are the owner or an authorized user of any MyChart or other healthcare portal credentials you use with the Service, and that you will not attempt to access information for any person unless you are legally authorized to do so (for example, as a proxy or caregiver recognized by the Provider).
You are responsible for all activity that occurs under your account or on your device.
6. License and permitted use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service on devices you own or control solely for your personal, non-commercial use, or in your capacity as a patient advocate or caregiver.
Except as expressly permitted by these Terms and applicable law that cannot be waived, you agree not to:
- Copy, modify, distribute, sell, lease, or sublicense the Service or any portion of it;
- Reverse engineer, decompile, or attempt to extract the source code of the Service (except to the limited extent such restrictions are prohibited by law);
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices;
- Use the Service to provide a competing product or service.
7. Acceptable use and prohibited activities
You agree not to use the Service in any way that:
- Violates any applicable law, regulation, or court order;
- Infringes, misappropriates, or violates anyone's rights, including privacy, publicity, or intellectual property rights;
- Attempts to access or use the accounts, data, or health information of any person without their consent or legal authority;
- Circumvents or attempts to circumvent technical protections, rate limits, or security controls of the Service, MyChart, or any Provider portal;
- Deploys malware, spyware, or other malicious code or interferes with the operation of the Service or any connected systems;
- Uses automated tools or "scrapers" in a way that violates applicable law or the terms of your Provider or portal;
- Harasses, abuses, or harms any person.
We reserve the right to investigate and, where appropriate, suspend or terminate access to the Service for violations of these Terms.
8. Subscriptions, fees, and changes to the Service
Parts of the Service may be offered on a paid subscription basis. When you subscribe through a third-party payment provider (such as a hosted checkout service), your subscription, renewal, and cancellation terms will be described at checkout and in any applicable plan details.
Unless stated otherwise, subscriptions will automatically renew at the end of each billing period at the then-current price, and you authorize the payment provider to charge your payment method on a recurring basis until you cancel.
If payment fails or a subscription lapses, we may reduce or suspend functionality (for example, limiting certain premium features, restricting access to portions of the Service, or making the Service read-only).
We may add, modify, or discontinue features of the Service over time. When we make material changes that negatively affect you, we will use reasonable efforts to notify you, such as through in-app notices or by updating the "Last Updated" date above.
9. Ownership and intellectual property
The Service, including its software, user interface, and content (excluding content you load into the app), is and will remain the property of Sound City Ventures, LLC and its licensors, and is protected by copyright, trademark, and other laws of the United States and other jurisdictions.
All Veritell names, logos, and related marks are trademarks of Sound City Ventures, LLC. You may not use them without our prior written permission.
You retain ownership of your own data, including your health information and records, subject to any rights your Providers and portals have under their own terms.
10. Feedback
If you choose to submit feedback, ideas, or suggestions about the Service ("Feedback"), you understand and agree that we may use that Feedback for any lawful purpose without obligation to you, including without limitation to improve the Service or create new products, and without any obligation of confidentiality, attribution, or compensation.
11. Third-party services and links
The Service may display, link to, or interact with third-party websites, applications, services, or content (including MyChart and other patient portals). We do not control and are not responsible for such third-party services, including their content, security, or privacy practices.
Your use of any third-party service is solely between you and that third party and is subject to their terms and policies. We are not liable for any loss or damage arising from your use of third-party services.
12. Disclaimers
We provide the Service "as is" and "as available". To the fullest extent permitted by law, we and our affiliates, officers, employees, agents, and licensors make no warranties, express or implied, about the Service, including any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement.
Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, secure, accurate, reliable, free of errors, or that any defects will be corrected, or that the Service will meet your needs.
What this means: We work hard to make Veritell helpful and reliable, but we cannot promise perfection or guarantee specific outcomes.
13. Limitation of liability
To the fullest extent permitted by applicable law, Sound City Ventures, LLC and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to:
- Your access to or use of, or inability to use, the Service;
- Any conduct or content of any third party;
- Any content or information obtained through the Service; or
- Unauthorized access, use, or alteration of your transmissions or data.
To the fullest extent permitted by law, our total liability for all claims relating to the Service shall not exceed the amount you paid us, if any, for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Sound City Ventures, LLC and its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service in violation of these Terms or applicable law; or
- Your content or data, including any use of others' health information without proper authority.
15. Governing law and dispute resolution
These Terms and any dispute arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law rules.
You and we agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the jurisdiction and venue of those courts.
If a court finds any provision of these Terms invalid or unenforceable, the remaining provisions will remain in full force and effect.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last Updated" date at the top of this page. For material changes, we will take additional steps to notify you where reasonably possible (for example, by showing a notice on our website or in the app).
Your continued use of the Service after the updated Terms become effective means you agree to the updated Terms. If you do not agree, you should stop using the Service and may uninstall the application.
